EnvManager - Environment Variable Management Platform

1. ACCEPTANCE OF TERMS

These Terms of Service ("Terms") are entered into between DigitX B.V., a company organized under the laws of the Netherlands ("Company," "we," "our," or "us"), operating the EnvManager platform at envmanager.com ("Service"), and you or the entity you represent ("Customer," "you," or "your"). By accessing, using, or subscribing to the Service, you agree to be bound by these Terms. If you do not agree to these Terms in their entirety, please discontinue use of the Service immediately.

These Terms apply to all users of the Service, whether free tier, trial, or paid subscription users. Use of the Service constitutes acceptance of these Terms and any policies referenced herein.

2. SERVICE DESCRIPTION

EnvManager is a Software-as-a-Service (SaaS) platform designed to provide secure management, storage, and deployment of environment variables and secrets. The Service includes:

Encrypted storage of secrets and environment variables using AES-256 encryption at rest
Role-based access control (RBAC) with granular per-environment permissions
Command-line interface (CLI) tools for secret synchronization and management
Proxy functions for server-side API key injection and secret management
Multi-platform integrations with popular deployment and cloud services including Vercel, Railway, Render, GitHub, Google Cloud, and Microsoft Azure
Audit logging and activity tracking features
Team management and collaboration tools

The Service is provided "as-is" and may be modified or enhanced at our discretion. We reserve the right to discontinue features, update functionality, or modify the Service at any time.

3. ACCOUNT REGISTRATION AND RESPONSIBILITIES

3.1 Account Creation

To use the Service, you must create an account by providing accurate, complete, and current information. You agree to maintain the confidentiality of your account credentials and are responsible for all activities that occur under your account.

3.2 User Eligibility

You represent and warrant that: (a) you are at least 18 years of age; (b) you have the legal authority to enter into these Terms; (c) you are not prohibited from using the Service under applicable laws; and (d) if registering on behalf of an organization, you have authority to bind that organization to these Terms.

3.3 Account Security

You are solely responsible for maintaining the confidentiality of your password and account information. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from unauthorized use of your account credentials.

4. ACCEPTABLE USE POLICY

You agree not to use the Service for any unlawful or prohibited purpose, including:

Storing, transmitting, or managing secrets or credentials for illegal activities
Storing or managing credentials used for unauthorized access, hacking, or security breaches
Attempting to access the Service or systems without authorization
Transmitting malware, viruses, ransomware, or other malicious code
Engaging in denial-of-service (DoS) attacks or other disruptive activities
Reverse engineering, decompiling, or attempting to derive the source code of the Service
Circumventing security measures or access controls
Using the Service for benchmarking or competitive analysis without written consent
Removing, obscuring, or altering copyright, trademark, or proprietary notices
Violating any applicable laws, regulations, or third-party rights

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account, at our sole discretion.

5. INTELLECTUAL PROPERTY RIGHTS

5.1 Company IP

The Service, including all software, documentation, designs, graphics, user interface, and content ("Company IP"), is owned by DigitX and protected by international copyright, trademark, and patent laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service solely for your authorized purposes. You may not sublicense, resell, rent, lease, or transfer your access rights.

5.2 Customer Content

You retain all intellectual property rights to any secrets, credentials, environment variables, or other content you store in the Service ("Customer Content"). By storing Customer Content in the Service, you grant DigitX a worldwide, royalty-free license to use, access, and process your Customer Content solely for the purposes of providing the Service, including backup, recovery, and security operations.

5.3 Feedback

Any feedback, suggestions, or improvements you provide regarding the Service may be used by DigitX without restriction or compensation to you.

6. PAYMENT TERMS

6.1 Pricing and Billing

Pricing for the Service is displayed on our website and may be updated from time to time. Paid subscribers will be billed according to their chosen subscription plan (monthly or annual). Billing cycles begin on the date you activate your subscription.

6.2 Payment Methods

Payment processing is handled by Stripe, Inc. ("Stripe"), a PCI DSS Level 1 certified payment processor. You agree to provide valid payment method information through Stripe and authorize DigitX to charge your account for your selected subscription. We accept major credit cards and other payment methods as supported by Stripe and specified on our website. By providing payment information, you represent that you are authorized to use such payment method. Your payment data is processed directly by Stripe and is subject to Stripe's Privacy Policy (https://stripe.com/privacy) and Terms of Service. DigitX does not store your full credit card details on its servers.

6.3 Renewal and Cancellation

Subscriptions will automatically renew at the end of each billing cycle unless you cancel prior to the renewal date. You may cancel your subscription at any time through your account dashboard. Cancellation will take effect at the end of your current billing cycle. No refunds will be issued for partial months or unused services.

6.4 Taxes

You are responsible for all applicable taxes, duties, and governmental charges associated with your use of the Service. If you are exempt from taxes, you must provide valid tax exemption documentation.

7. LIMITATION OF LIABILITY

7.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS-IS" AND "AS-AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. DIGIX DISCLAIMS ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

7.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL DIGIX BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, OR USE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

8. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless DigitX, its officers, directors, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your Customer Content or any infringement of third-party rights by your Customer Content.

9. DATA HANDLING AND SECURITY

9.1 Security Measures

We implement industry-standard security measures to protect your Customer Content, including AES-256 encryption at rest, secure transport layer security, and access controls. Our infrastructure is hosted on Supabase in Frankfurt, Germany (EU), ensuring your data remains within the European Union. However, no security system is impenetrable, and we cannot guarantee absolute security.

9.2 Data Processing

Our privacy practices and data processing activities are governed by our separate Privacy Policy. By using the Service, you consent to our collection and processing of data as described in the Privacy Policy.

9.3 Backup and Recovery

We maintain automated backups of Customer Content for disaster recovery purposes. While we make reasonable efforts to maintain these backups, we are not responsible for loss of Customer Content due to circumstances beyond our reasonable control.

9.4 Data Retention

Upon account termination, we will delete your Customer Content within 30 days unless longer retention is required by law. We may retain anonymized, aggregated data for analytics and service improvement purposes.

10. TERMINATION AND SUSPENSION

10.1 Termination by Customer

You may terminate your account at any time by accessing your account settings and selecting the cancellation option. Upon termination, your access to the Service will cease, and your data will be handled according to Section 9.4.

10.2 Termination by DigitX

We may suspend or terminate your account immediately without notice if: (a) you violate these Terms or the Acceptable Use Policy; (b) you engage in fraudulent activity; (c) you pose a security risk to the Service or other users; (d) your account is used for illegal purposes; or (e) you fail to pay fees owed (after 30 days written notice).

10.3 Effect of Termination

Upon termination for any reason, all licenses and rights granted to you will cease, and you must cease use of the Service. Sections that by their nature are intended to survive termination (including Intellectual Property, Limitation of Liability, Indemnification, and Governing Law) will survive.

11. MODIFICATIONS TO TERMS AND SERVICE

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you via email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after such notice constitutes acceptance of the modified Terms. If you do not agree to any modifications, your sole remedy is to terminate your account.

We may also modify, suspend, or discontinue the Service (or any features) at any time. We will provide reasonable notice of such changes where practicable.

12. GOVERNING LAW AND JURISDICTION

These Terms and your use of the Service are governed by and construed in accordance with the laws of the Netherlands, without regard to conflicts of law principles. Any legal action or proceeding shall be exclusively brought in the competent courts located in the Netherlands.

13. DISPUTE RESOLUTION

Before initiating formal legal proceedings, you agree to attempt to resolve any dispute through informal negotiation. You must send notice of the dispute to DigitX at info@digitx.nl with a detailed description of the issue. Both parties will make good faith efforts to resolve the dispute within 30 days. If negotiation fails, either party may pursue legal remedies as permitted under applicable law.

14. SEVERABILITY

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if that is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

15. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and DigitX regarding the Service and supersede all prior and contemporaneous agreements, understandings, and negotiations. If any conflict exists between these Terms and other agreements, these Terms shall control unless explicitly stated otherwise.
